There was a question at the year end meeting about the bylaws. I went back through some old old emails from when I was VP. This is what I found. I’m sure they’ve been updated yearly. Donny takes care of keeping us up to date with the state.


Articles of Organization
OF
ARKANSAS HARE SCRAMBLE CHAMPIONSHIP SERIES, INC.

An Arkansas Non-Profit Corporation

ARTICLE I
Name
The name of the Corporation shall be Arkansas Hare Scramble Championship Series, Inc.

ARTICLE II
Corporate Powers and Purposes
A. The Corporation shall exist as a non-profit corporation under the Arkansas Non-profit Act (Act 1147 of 1993). The Corporation shall have members and is hereby designated as a mutual benefit corporation, formed to benefit, represent and serve the members of the organization.
B. The Corporation shall promote the sport of cross-country motorcycle racing in a safe and fair manner for the benefit of its members, and shall provide for the administration, operation, management, maintenance, preservation and control or the Arkansas Hare Scramble Championship Series.
C. The Corporation, through its governing board, is hereby empowered to prepare and promulgate Bylaws for the execution of its powers and duties. Such Bylaws shall have full force and effect in every area not inconsistent with these Articles, or the Arkansas Non-Profit Corporation Act, as amended.
D. This statement of corporate powers and purposes shall be broadly construed to effectuate the corporate purposes.

Article III
Duration and Dissolution
The period of the Corporation's duration shall be perpetual. Upon dissolution of the Corporation, its ASSETS SHALL BE donated to the RIDER DOWN FOUNDATION as long as they remain a 501(c)3* organization. In the event that the RIDER DOWN FOUNDATION in no longer a 501(c) 3*Organization, all remaining cash and assets shall be donated to another 501(c)3* organization registered with the IRS.

ARTICLE IV
Governing Board
The governing board of the Corporation shall be the Board of Directors, consisting of (7) seven persons, the members of which are:

ARTICLE V
Incorporators
The Incorporators of the Corporation are:

ARTICLE VI

The principal; office of the Corporation shall be located at NEW PRESIDENTS ADDRESS HERE.

ARTICLE VII
Registered Agent
The Registered Agent for the Corporation at the Principal office address is PRESIDENT.

We still go on just as we always have.

The AHSCS treasurer renews our articles of incorporation each year and updates the information with the current years officers information.

When a corporation (or a non-profit) starts anew, it requires a signature from someone. Alan Holmber and
Michael Broyles were the original signers and based on year-to-year updates have been replaced.

If the series were to close shop today, the final signers would be current officers.
